Terms of Service

Welcome to Benitra, an AI-powered content generation platform developed and operated by Spinelo Ltd. ("Spinelo", "Benitra", "Company", "we", "our", or "us").

These Terms of Service ("Terms") govern your access to and use of the Benitra website, applications, APIs, software, and related services (collectively, the "Services").

Please read these Terms carefully before using the Services.

By creating an account, accessing, or using the Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.

If you do not agree to these Terms, you must not access or use the Services.

1. Definitions

For purposes of these Terms:

Account means a registered user account created to access the Services.

AI Services means any artificial intelligence technologies used by Benitra, whether developed internally or provided by third-party providers.

Content means all text, prompts, images, videos, audio, scripts, logos, graphics, brand assets, documents, metadata, and any other information uploaded, submitted, generated, or stored through the Services.

Credits means prepaid digital usage units purchased by users that may be redeemed for eligible Services.

Credits are not currency, electronic money, securities, gift cards, or any other financial instrument.

Generated Content means any output produced through the Services, including but not limited to images, videos, scripts, captions, narration, music combinations, storyboards, visual concepts, and marketing materials.

User Content means any information, files, prompts, brand assets, logos, images, videos, or other materials submitted by a user.

Merchant of Record means Paddle.com Market Limited (and its affiliates where applicable), which processes purchases, collects taxes, and issues invoices on behalf of Benitra.

2. Eligibility

You may use the Services only if:

  • you are at least 18 years old;
  • you have the legal capacity to enter into binding contracts;
  • your use of the Services is not prohibited under applicable law;
  • you are not located in a jurisdiction subject to applicable trade restrictions or sanctions that prohibit use of the Services.

If you use the Services on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.

3. Account Registration

To access certain features, you must create an account.

You agree to:

  • provide accurate, current, and complete information;
  • keep your information up to date;
  • maintain the confidentiality of your login credentials;
  • immediately notify us of any unauthorized access.

You are responsible for all activities occurring under your Account.

Benitra is not liable for losses resulting from unauthorized access caused by your failure to safeguard your credentials.

4. Account Security

You agree not to:

  • share your account credentials;
  • allow unauthorized individuals to use your account;
  • circumvent authentication mechanisms;
  • attempt to access accounts belonging to other users.

We reserve the right to suspend accounts that appear compromised or abused.

5. The Services

Benitra provides AI-powered creative tools that assist users in generating marketing-related content, including videos, images, narration, captions, scripts, and related assets.

Benitra is an independent AI platform operated by Spinelo Ltd. The Services are a custom interface and workflow layer built on top of third-party artificial intelligence models. Benitra is not affiliated with, endorsed by, or sponsored by Google, OpenAI, Anthropic, ElevenLabs, Fal.ai, Suno, or any other AI model provider.

The Services combine proprietary technologies with third-party artificial intelligence models.

Features, capabilities, supported models, workflows, and generation methods may change over time without prior notice.

We continuously improve the Services and reserve the right to modify, replace, discontinue, or introduce features at our sole discretion.

6. Pay-As-You-Go Credit System

Benitra operates on a prepaid credit-based model.

Users purchase Credits in advance and consume Credits when using eligible Services.

Benitra does not require recurring subscriptions in order to access the Services.

Credits are deducted automatically when generation requests or other eligible actions are successfully initiated.

The number of Credits required for each feature is displayed within the platform and may be updated from time to time.

Credit requirements may vary depending on factors including:

  • generation type;
  • selected AI model;
  • requested quality;
  • video duration;
  • processing complexity;
  • future product capabilities.

7. Purchasing Credits

Credits may be purchased using the payment methods made available through the platform.

Credit purchases become available after successful payment authorization and confirmation.

Purchased Credits are added to the user's Account balance.

Credit balances are visible within the platform.

Credits:

  • are non-transferable;
  • have no cash value;
  • are not redeemable for money;
  • cannot be exchanged for legal tender;
  • cannot be pledged or assigned.

Unless otherwise required by applicable law or explicitly stated by Benitra, purchased Credits do not expire while the Account remains active.

8. Promotional Credits

From time to time, Benitra may issue promotional, complimentary, bonus, trial, or goodwill Credits.

Promotional Credits:

  • may expire;
  • may be revoked;
  • cannot be transferred;
  • have no monetary value;
  • may be subject to additional conditions.

Unless otherwise specified, Promotional Credits are consumed before Purchased Credits.

Benitra reserves the right to discontinue promotional programs at any time.

9. Payment Processing

Payments are processed by Paddle.com Market Limited and its affiliated entities ("Paddle"), acting as the Merchant of Record.

Paddle is responsible for:

  • payment processing;
  • applicable tax collection;
  • invoice issuance;
  • payment compliance.

Your purchase is subject to Paddle's applicable payment terms and privacy practices.

Benitra never stores complete payment card information.

We receive only the information necessary to provide the Services, including transaction status, purchased products, billing country, and payment confirmation.

10. Refund Policy

Unless required by applicable law, purchases of Credits are final.

Purchased Credits are generally non-refundable after they have been successfully added to your Account.

If Benitra determines that Credits were deducted incorrectly because of a verified platform error, we may, at our sole discretion:

  • restore Credits;
  • issue replacement Credits; or
  • provide another reasonable remedy.

Unused Credits cannot be redeemed for cash.

11. Failed or Interrupted Generations

Artificial intelligence generation relies on multiple infrastructure providers.

Occasionally, requests may fail because of provider outages, network interruptions, technical limitations, or unexpected processing failures.

Where a generation fails before successful completion due to a verified platform issue, Benitra may restore deducted Credits.

Benitra reserves sole discretion in determining whether a failed request qualifies for Credit restoration.

Temporary degradation of output quality or provider availability does not automatically entitle users to refunds or compensation.

12. Price Changes

Benitra may modify:

  • Credit pricing;
  • Credit packages;
  • generation costs;
  • available features;
  • supported AI models.

Such changes apply only prospectively.

Previously purchased Credits remain available under these Terms.

13. User Content

You retain ownership of all User Content that you upload, submit, import, create, or otherwise make available through the Services.

User Content may include, without limitation:

  • prompts;
  • text;
  • images;
  • videos;
  • logos;
  • trademarks;
  • product photographs;
  • marketing materials;
  • brand guidelines;
  • documents;
  • audio recordings;
  • reference images;
  • voice samples;
  • business information; and
  • any other materials submitted to the Services.

You are solely responsible for all User Content and for the consequences of submitting or generating content through the Services.

14. User Representations and Warranties

By submitting User Content, you represent and warrant that:

  • you own or have obtained all necessary rights, licenses, permissions, and consents;
  • your User Content does not infringe any copyright, trademark, patent, trade secret, privacy right, publicity right, or other intellectual property right;
  • your User Content does not violate any applicable law or regulation;
  • your User Content does not contain malicious software, malware, ransomware, spyware, or harmful code;
  • your use of the Services complies with these Terms.

Benitra has no obligation to verify ownership of uploaded materials.

15. License Granted to Benitra

To provide the Services, you grant Benitra a worldwide, non-exclusive, royalty-free, revocable license to:

  • host;
  • store;
  • process;
  • reproduce;
  • analyze;
  • transmit;
  • convert;
  • generate derivative processing solely as technically necessary;
  • display internally; and
  • otherwise use your User Content

solely for the purpose of operating, maintaining, improving, securing, and providing the Services requested by you.

This license automatically terminates when your User Content is permanently deleted from our systems, except where retention is required by law or legitimate operational purposes.

Benitra does not acquire ownership of your User Content.

16. AI Processing Authorization

You acknowledge and authorize Benitra to transmit User Content to third-party artificial intelligence providers as reasonably necessary to perform the requested Services.

Such providers may include, but are not limited to:

  • OpenAI
  • Anthropic
  • Google
  • ElevenLabs
  • Fal.ai
  • Suno
  • cloud infrastructure providers
  • future AI providers selected by Benitra

Only the minimum information reasonably necessary to perform the requested functionality is transmitted.

17. Generated Content

Subject to your compliance with these Terms and applicable law, Benitra grants you all rights, title, and interest that Benitra may have in the Generated Content created specifically for your requests.

You may use Generated Content for commercial or non-commercial purposes, subject to:

  • applicable law;
  • third-party provider terms;
  • intellectual property laws;
  • these Terms.

Benitra does not claim ownership of Generated Content created specifically for you.

18. AI Output Similarity

Artificial intelligence systems are inherently probabilistic.

Accordingly:

  • Generated Content may not be unique.
  • Similar prompts submitted by different users may produce similar or identical outputs.
  • Benitra does not guarantee exclusivity of any Generated Content.
  • Benitra does not guarantee originality.
  • Benitra does not guarantee copyright protection for Generated Content.

You acknowledge that similar outputs may be generated for other users.

19. No Guarantee of Accuracy

Generated Content is created by artificial intelligence.

Accordingly, Benitra does not warrant that Generated Content is:

  • accurate;
  • complete;
  • factual;
  • current;
  • lawful;
  • suitable for any specific purpose;
  • free of bias;
  • free of offensive material;
  • free of third-party rights.

Users are solely responsible for reviewing, verifying, editing, approving, and validating all Generated Content before publication or commercial use.

20. Intellectual Property

The Services, including without limitation:

  • software;
  • source code;
  • object code;
  • workflows;
  • prompts;
  • prompt engineering;
  • interfaces;
  • user experience;
  • algorithms;
  • orchestration systems;
  • recipes;
  • generation pipelines;
  • databases;
  • visual designs;
  • trademarks;
  • logos;
  • documentation;
  • APIs;
  • business methods;
  • proprietary know-how;

are owned exclusively by Spinelo Ltd. or its licensors.

Nothing in these Terms transfers ownership of Benitra's intellectual property to users.

21. Feedback

If you voluntarily submit suggestions, ideas, feature requests, bug reports, improvements, or feedback regarding the Services ("Feedback"), you grant Benitra a perpetual, irrevocable, worldwide, royalty-free license to use, modify, publish, commercialize, and incorporate such Feedback without compensation or attribution.

22. Acceptable Use

You agree to use the Services responsibly and lawfully.

You shall not use the Services to:

  • violate applicable laws;
  • infringe intellectual property rights;
  • impersonate real individuals, public figures, celebrities, or private persons;
  • create deepfakes, face swaps, face manipulations, or synthetic media intended to depict a real person without their consent;
  • generate NSFW, sexually explicit, sexually suggestive, pornographic, or exploitative sexual content;
  • generate fraudulent materials;
  • distribute malware;
  • create phishing content;
  • facilitate scams;
  • harass individuals;
  • generate unlawful content;
  • violate privacy rights;
  • distribute harmful software.

Benitra does not support deepfake creation, face-swap tools, face-manipulation tools, or impersonation of real people. Characters in Benitra videos are AI-generated fictional characters only — users may not upload photos of real people for use as character references.

You remain solely responsible for your use of Generated Content.

23. Prohibited Uses

Without limiting the foregoing, you shall not:

  • reverse engineer the Services;
  • decompile the software;
  • disassemble any component;
  • scrape the platform;
  • crawl the platform using automated tools;
  • perform model extraction;
  • perform prompt extraction;
  • benchmark the Services for developing competing products without our written permission;
  • copy proprietary workflows;
  • interfere with security features;
  • bypass usage limits;
  • manipulate the Credit system;
  • abuse promotional Credits;
  • attempt unauthorized access;
  • use bots to exploit the platform;
  • resell access to the Services without authorization;
  • create derivative competing AI services using Benitra;
  • use the Services to train another artificial intelligence model unless expressly authorized in writing.

Violation of this section may result in immediate suspension or permanent termination of your Account.

24. Copyright Complaints

Benitra respects intellectual property rights.

If you believe that content available through the Services infringes your copyright or other intellectual property rights, you may submit a written notice including:

  • identification of the copyrighted work;
  • identification of the allegedly infringing material;
  • your contact information;
  • a statement of good-faith belief;
  • a statement made under penalty of perjury that your claim is accurate;
  • your physical or electronic signature.

We may remove or disable access to allegedly infringing material while investigating the claim.

25. Trademarks

"Benitra", "Spinelo", associated logos, branding, and related marks are trademarks or proprietary assets of Spinelo Ltd.

You may not use our trademarks without prior written permission.

Nothing contained in these Terms grants any license to use our trademarks except as expressly permitted.

26. Third-Party Services

The Services rely on third-party providers to deliver certain functionality, including artificial intelligence models, payment processing, cloud infrastructure, authentication, communications, analytics, and other supporting services.

Such providers may include, without limitation:

  • Paddle (payments)
  • OpenAI
  • Anthropic
  • Google
  • ElevenLabs
  • Fal.ai
  • Suno
  • Cloud hosting providers
  • Email service providers
  • Analytics providers
  • Security providers

Benitra does not own or control these third-party services and is not responsible for their availability, performance, policies, security, or acts or omissions.

If a third-party provider modifies, suspends, limits, or discontinues its services, Benitra may correspondingly modify or suspend affected functionality without liability.

27. Third-Party AI Models

The Services utilize artificial intelligence models developed by third parties. These models are integrations accessed through Benitra's platform — they are not Benitra products, and their creators do not endorse Benitra.

Model availability, quality, latency, pricing, capabilities, and output characteristics may change without notice.

Benitra may replace, upgrade, downgrade, or discontinue any model at its sole discretion.

Users acknowledge that AI outputs depend on third-party technologies that are outside Benitra's direct control.

28. Beta Features

From time to time, Benitra may offer experimental, preview, beta, early-access, or evaluation features.

Beta Features:

  • may contain bugs;
  • may change without notice;
  • may be discontinued at any time;
  • may not be supported;
  • may generate unpredictable results.

Beta Features are provided "AS IS" without warranties of any kind.

29. Service Availability

While Benitra strives to maintain high availability, uninterrupted operation cannot be guaranteed.

The Services may occasionally become unavailable due to:

  • maintenance;
  • software updates;
  • infrastructure failures;
  • security incidents;
  • third-party outages;
  • force majeure events;
  • internet disruptions.

Benitra does not guarantee continuous, uninterrupted, or error-free operation.

30. Maintenance and Updates

We may perform maintenance, upgrades, security improvements, or infrastructure changes at any time.

Such activities may temporarily affect the availability or functionality of the Services.

Whenever reasonably practical, planned maintenance will be performed in a manner intended to minimize disruption.

31. Suspension of Services

Benitra may suspend or restrict access to the Services immediately if we reasonably believe that a user has:

  • violated these Terms;
  • violated applicable law;
  • engaged in fraudulent activity;
  • attempted unauthorized access;
  • abused the Credit system;
  • endangered platform security;
  • interfered with other users;
  • used the Services in a manner that creates excessive operational risk.

Suspension may be temporary or permanent.

32. Termination

Users may stop using the Services at any time.

Benitra may terminate or suspend Accounts at its sole discretion where:

  • these Terms are violated;
  • fraudulent activity is detected;
  • payment fraud is suspected;
  • legal obligations require termination;
  • continued access creates security or operational risks.

Termination does not affect obligations accrued before termination.

Sections intended to survive termination shall remain in effect, including but not limited to intellectual property, limitation of liability, indemnification, governing law, and dispute resolution.

33. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BENITRA DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF:

  • MERCHANTABILITY;
  • FITNESS FOR A PARTICULAR PURPOSE;
  • NON-INFRINGEMENT;
  • TITLE;
  • ACCURACY;
  • RELIABILITY;
  • AVAILABILITY;
  • SECURITY;
  • ERROR-FREE OPERATION.

WE DO NOT WARRANT THAT:

  • THE SERVICES WILL ALWAYS BE AVAILABLE;
  • GENERATED CONTENT WILL BE ACCURATE;
  • GENERATED CONTENT WILL BE UNIQUE;
  • GENERATED CONTENT WILL ACHIEVE COMMERCIAL RESULTS;
  • GENERATED CONTENT WILL BE ACCEPTED BY SOCIAL MEDIA PLATFORMS;
  • GENERATED CONTENT WILL BE FREE FROM THIRD-PARTY CLAIMS;
  • ANY ERRORS WILL BE CORRECTED.

USE OF THE SERVICES IS ENTIRELY AT YOUR OWN RISK.

34. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BENITRA, SPINELO LTD., ITS DIRECTORS, OFFICERS, EMPLOYEES, SHAREHOLDERS, CONTRACTORS, LICENSORS, SUPPLIERS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

  • INDIRECT DAMAGES;
  • INCIDENTAL DAMAGES;
  • SPECIAL DAMAGES;
  • CONSEQUENTIAL DAMAGES;
  • EXEMPLARY DAMAGES;
  • PUNITIVE DAMAGES;
  • LOSS OF PROFITS;
  • LOSS OF BUSINESS;
  • LOSS OF REVENUE;
  • LOSS OF GOODWILL;
  • LOSS OF DATA;
  • BUSINESS INTERRUPTION;
  • PROCUREMENT OF SUBSTITUTE SERVICES.

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY ASSERTED, INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE.

IN NO EVENT SHALL BENITRA'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES EXCEED THE TOTAL AMOUNT PAID BY THE USER TO BENITRA (THROUGH PADDLE AS MERCHANT OF RECORD) DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY.

35. Indemnification

You agree to defend, indemnify, and hold harmless Spinelo Ltd., Benitra, their officers, directors, employees, contractors, affiliates, licensors, and partners from and against any claims, liabilities, damages, judgments, settlements, penalties, losses, costs, and expenses (including reasonable attorneys' fees) arising from or relating to:

  • your use of the Services;
  • your User Content;
  • your Generated Content;
  • your violation of these Terms;
  • your violation of applicable law;
  • infringement of any third-party rights;
  • misuse of artificial intelligence outputs.

36. Force Majeure

Benitra shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including but not limited to:

  • natural disasters;
  • war;
  • terrorism;
  • cyberattacks;
  • internet outages;
  • governmental actions;
  • labor disputes;
  • pandemics;
  • failures of cloud providers;
  • failures of AI providers;
  • failures of payment processors;
  • failures of telecommunications infrastructure.

Performance shall be suspended for the duration of such events.

37. Export Controls and Sanctions

You represent and warrant that:

  • you are not located in a country subject to comprehensive trade sanctions applicable to Benitra;
  • you are not listed on any applicable government restricted-party list;
  • you will not use the Services in violation of export control or sanctions laws.

Benitra may restrict or terminate access where necessary to comply with applicable export control or sanctions requirements.

38. Compliance with Laws

You are solely responsible for ensuring that your use of the Services complies with all applicable laws and regulations, including advertising, consumer protection, privacy, intellectual property, and artificial intelligence laws applicable in your jurisdiction.

39. Assignment

You may not assign, transfer, sublicense, or otherwise transfer your rights or obligations under these Terms without Benitra's prior written consent.

Benitra may assign these Terms without restriction in connection with a merger, acquisition, corporate restructuring, financing, or sale of assets.

40. Severability

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.

41. No Waiver

Failure by Benitra to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights.

42. Entire Agreement

These Terms, together with our Privacy Policy, Acceptable Use Policy, AI Content & Ownership Policy, Responsible AI Policy, and any additional policies expressly incorporated by reference, constitute the entire agreement between you and Benitra regarding the Services and supersede all prior agreements, understandings, communications, and representations relating to the Services.

43. Changes to These Terms

Benitra may update these Terms from time to time.

Material changes will become effective upon publication on our website or within the Services, unless otherwise required by applicable law.

Your continued use of the Services after the effective date of revised Terms constitutes acceptance of those changes.

44. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of laws principles.

45. Dispute Resolution

Before initiating legal proceedings, the parties agree to make a good-faith effort to resolve any dispute through informal negotiations for a period of at least thirty (30) days following written notice of the dispute.

If the dispute cannot be resolved through negotiation, it shall be submitted to the competent courts located in Israel, which shall have exclusive jurisdiction, unless mandatory applicable law provides otherwise.

Nothing in these Terms prevents either party from seeking urgent injunctive or equitable relief where necessary to protect intellectual property, confidential information, or other legal rights.
